Terms of Service

These Terms of Service ("Terms") govern your relationship with Bespoke, operated by Em Shanell ("Bespoke," "we," "us"). By applying for, purchasing, or using Bespoke services, you ("Client," "you") agree to these Terms.

1. What Bespoke Is

Bespoke is a custom-built operations studio. We design and build a software system for your specific business, configured to your industry, your voice, and your operations. After the build is complete and handed off to you, we provide ongoing maintenance to keep your system running.

2. The Build

When you engage Bespoke, we agree to design, configure, and deliver a custom system for your business according to the scope outlined in your Client Services Agreement. The build is typically delivered within thirty days of project kickoff, depending on scope and the pace of input from your side, as outlined in your Client Services Agreement.

The build fee is paid according to the schedule outlined in your Client Services Agreement, generally in stages tied to delivery milestones.

3. Ownership

You own the system we build for you. You own your deployment. You own your data. You own the configuration that has been calibrated to your business.

We retain ownership of the underlying master codebase, the framework that makes Bespoke systems possible. This is the intellectual property we use to serve multiple clients. You receive a perpetual, royalty-free license to your deployed instance.

If you ever choose to take your deployed system to another hosting provider or operate it yourself, you may. You take your data, your configuration, and your deployment with you. We will provide reasonable assistance in the transition.

4. The Monthly Maintenance Fee

The monthly fee covers ongoing maintenance, master codebase updates, hosting infrastructure, voice refinement as your business evolves, and the strategy calls or managed services included in your tier.

The monthly fee is not a license fee. It is not a subscription fee for access to a platform. It is the cost of us continuing to maintain, update, and support the system we built for you.

You may cancel the monthly maintenance at any time with thirty days' notice. Cancellation ends our maintenance obligations. Your deployed system remains yours.

5. Application and Acceptance

Bespoke is offered selectively. Submitting an application does not guarantee acceptance. We choose clients based on whether we believe we can do the work justice. We may decline applications for any reason or no reason.

6. Client Responsibilities

You agree to:

  • Provide accurate and complete information about your business during the application, discovery, and build process.
  • Make decisions and provide feedback within reasonable timeframes during the build. Delays caused by your unresponsiveness may extend the build timeline.
  • Maintain the confidentiality of your login credentials.
  • Use the system in compliance with applicable laws and not for illegal purposes.
  • Pay all fees according to the schedule in your Client Services Agreement.

7. Intellectual Property

You retain all rights to your content, your brand assets, your client data, and any materials you provide to us.

We retain rights to the master codebase, the underlying architecture, and any general improvements we make to Bespoke's framework as a result of serving multiple clients. We do not claim rights to your specific configuration or your business data.

8. Confidentiality

We treat your business information, client lists, and operational details as confidential. We will not share, sell, or disclose this information to third parties except as required by law or with your explicit permission.

You agree to treat any non-public details of the Bespoke system, pricing structure, or methodology as confidential.

9. Third-Party Services

Bespoke integrates with third-party services such as Stripe for payments, Resend for email delivery, Kie.ai for image generation, OpenRouter for AI text generation, and Zernio for social publishing. Your use of these services is subject to their respective terms.

We are not responsible for outages, errors, or policy changes from third-party providers. We will make reasonable efforts to maintain integrations and provide alternatives where appropriate.

10. Warranties and Disclaimers

We deliver the Bespoke system as agreed in your Client Services Agreement. We do not guarantee specific business outcomes, revenue results, lead volume, conversion rates, or any other measurable business metric.

Bespoke is provided "as is" after handoff. We provide maintenance under the terms of your monthly maintenance fee, but we do not warrant that the system will be uninterrupted, error-free, or perfectly suited to every business need that may arise.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the Bespoke services will not exceed the total amount you paid us in the twelve months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

12. Termination

You may terminate the maintenance relationship at any time with thirty days' written notice. Your deployed system and data remain yours.

We may terminate the maintenance relationship with thirty days' written notice for any reason. We may terminate immediately if you breach these Terms materially, fail to pay fees when due, or use the system illegally.

Termination does not affect any obligations that by their nature survive termination, including payment obligations for work already performed, confidentiality, and limitations of liability.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes by email. Continued use of Bespoke after notice constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in San Diego County, California.

Before filing any formal legal action, both parties agree to attempt to resolve the dispute in good faith through direct communication.

15. Entire Agreement

These Terms, together with your Client Services Agreement and any other written documents we provide, constitute the entire agreement between you and Bespoke regarding the services.
